Terms of Service

1. The service
ProxyLLM is a suite of developer tools for working with AI providers, accessed at proxyllm.ai. You ("you", "user") access the service under a single membership covering the suite. ProxyLLM is operated by the entity identified in the contact section.
Tools currently included in the suite:
- OpenAI-compatible gateway — drop-in
OPENAI_BASE_URLfor proxying calls to OpenAI, OpenRouter, and other supported providers. - Bring-your-own provider keys — AES-256-GCM encrypted at rest; decrypted only inside the request handler that calls the provider on your behalf.
- Scoped sub-keys — per-app keys with monthly USD budget caps.
- Routing configurations — classifier-driven routing to the cheapest capable model with visible decisions.
- Blitz parallel inference — fan out prompt batches in one request with partial-failure handling and cost ceilings.
- Schema-enforced outputs — structured-output validation across providers.
- Request logs and analytics — per-request USD cost, per-day rollups, per-model breakdowns, cache hit rate, and 30+ days of history.
- Codex Hosted — run the official, unmodified OpenAI Codex CLI inside a per-user isolated container authenticated against your own ChatGPT subscription.
The suite evolves. ProxyLLM is software under active development. Tools may be added, modified, replaced, or deprecated at any time. If a tool you rely on is being deprecated, we will send advance notice by email to the address on your account.
2. Billing, cancellation, and merchant of record
Membership is $129.00 USD every four weeks, billed automatically until you cancel. There is no free tier; access to the suite is included with an active membership.
What the $129 covers and does not cover. The membership fee covers ProxyLLM software only: the gateway, routing, sub-keys, Blitz, schema-enforced outputs, request logs, dashboards, and the Codex Hosted control plane. It does not include any third-party cost. Provider API usage (OpenAI, OpenRouter, and any other provider whose key you connect), ChatGPT subscription fees consumed by Codex Hosted, and any other vendor plan you connect are paid by you directly to that vendor under that vendor's terms. ProxyLLM does not add a margin to provider charges and does not collect or pass through those amounts.
Membership is sold and billed by Whop Inc., 300 Kent Ave #401, Brooklyn, NY 11249, support@whop.com, acting as merchant of record under its Terms of Service . Card-statement descriptor: Whop. ProxyLLM remains the supplier of the underlying service. Product-level disputes are handled by ProxyLLM.
How to cancel. Cancellations are only accepted through the ProxyLLM Membership Portal. If you do not cancel, the membership renews automatically every four weeks. Steps:
- Sign in to the Membership Portal.
- Open Settings.
- Open Membership settings.
- Click Cancel membership and follow the prompts.
2A. 7-day 100% money-back guarantee
We offer a 7-day, 100% money-back guarantee on a customer's first purchase of ProxyLLM, so you can try the suite risk-free. The guarantee applies only to that first transaction. It does not apply to subsequent renewals, and it does not apply if a member cancels their membership and resubscribes later.
How to request a refund:
- The refund request must be sent by email to support@proxyllm.ai within 7 days of the original purchase.
- To verify the request, you must send the email from the same address used to make the purchase.
- The subject line must be "Refund Request" so our team can identify and prioritize the request.
- Once a refund is issued, access to ProxyLLM features is removed immediately.
- Refunds are processed back to your original payment method through Whop.
Abuse. If we determine that the guarantee is being abused — including but not limited to creating multiple accounts to repeatedly claim refunds, coordinated refund activity, or any pattern intended to extract paid access without paying — we reserve the right to deny the refund and to terminate the involved accounts.
3. Bring your own keys and plans
You provide API keys for OpenAI, OpenRouter, or your own enterprise providers, and you keep your own ChatGPT subscription that Codex Hosted signs in to. Keys are encrypted at rest with AES-256-GCM using a server-side key. ProxyLLM decrypts a key only inside the request handler that calls the provider on your behalf. We never transmit your key to any party other than the provider you pointed us at.
You are responsible for compliance with each provider's terms, for keeping the subscriptions active that the tools you use require, and for the cost of every call your key or subscription serves. Those costs are billed to you directly by the vendor and are not part of your ProxyLLM membership.
4. Third-party AI providers
Several tools in the suite — including the Codex Hosted tool, which runs the official, unmodified OpenAI Codex CLI inside a per-user isolated container against your own ChatGPT subscription — depend on third-party AI providers. Your use of those providers remains governed by their own terms (including OpenAI's Terms of Use), which make you responsible for activity under your account and allow the provider to restrict, suspend, or terminate accounts at its discretion. You warrant that any third-party account you connect is your own. ProxyLLM is not affiliated with or endorsed by any model provider, provides infrastructure only, and is not liable for actions a provider takes against your account.
If a provider directs us to change or remove a tool in the suite, we will comply without contest, notify affected members by email, and the rest of the suite remains available.
5. Acceptable use
You agree not to use ProxyLLM to:
- violate any law, third-party right, or provider TOS;
- resell ProxyLLM or expose it as a public API under your own brand;
- circumvent rate limits, abuse usage tiers, or share accounts;
- generate content that violates the policies of the underlying AI providers (CSAM, targeted harassment, malware, etc.);
- scrape, reverse engineer, or attempt to derive source from our service.
6. Data we record
We record every request that flows through the platform, including prompt text (truncated to 20,000 characters), model identifier, token counts, latency, cost, and routing decision. We may use this data, in aggregated or anonymized form, to improve the service, debug issues, and produce analytics. See the Privacy Policy for details.
7. Plan changes, suspension, termination
You may cancel your membership at any time via the Membership Portal as described in Section 2. Cancellation stops future renewals; the membership remains active through the end of the current billing period unless a refund is granted under Section 2A. We may suspend or terminate accounts that violate Section 5, that incur chargebacks, or that we reasonably believe place the service at risk. On termination, your API keys and recent data are deleted within 30 days unless we are legally required to retain them.
8. Warranties and liability
The service is provided "as is" and "as available". To the maximum extent permitted by law, ProxyLLM disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ProxyLLM is not liable for any indirect, incidental, special, or consequential damages. Total aggregate liability is capped at the amount you paid us in the 12 months preceding the claim, or USD $100, whichever is greater.
9. Indemnification
You agree to indemnify ProxyLLM against claims arising from (a) your misuse of the service, (b) content you submit or generate through it, and (c) your breach of these terms or of any provider TOS.
10. Changes
We may update these terms and the composition of the suite. Material changes — including deprecation of a tool, pricing changes, or changes to billing cadence — will be announced by email to the address on your account and via the in-app dashboard. Continued use after the effective date constitutes acceptance.
11. Governing law and disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute will be resolved by binding arbitration in Delaware. Either party may seek injunctive relief in a court of competent jurisdiction for IP or confidentiality violations.
